How can we help?

We work mainly with private, family-run businesses, both large and those operating in the SME sector. We provide our services on a project basis, on an ad hoc basis, or as part of an ongoing collaboration. We assist at various stages of business activity: at the start-up, ongoing operation or liquidation, adjusting our activities to your business model. We are a member of the Lower Silesian Chamber of Commerce (DIG) for whose members we have the pleasure to prepare a legal newsletter.

Our specializations

Transformation of companies is an area that requires not only extensive knowledge but also experience. 

We have participated in the processes of mergers and acquisitions of entities in many industries, including the medical, chemical, and agri-food sectors. Our knowledge of the specifics of a given industry enables us to thoroughly prepare and guide a company through all stages of the process.

This includes in particular:

  • conducting due diligence research of entities – parties to the transaction and a thorough analysis of legal risks,
  • preparation of transaction documentation, e.g. Memorandum of Understanding, Letter of Intent, investment agreements, shareholders’ agreements, articles of association, etc.,
  • negotiating the terms of the transaction on behalf of a party to the transaction (both the acquirer and the seller of part or all of the business),
  • post-trade services and notification of changes to the National Court Register.
